Key Responsibilities
- Advise ASX-listed companies, investment banks, and institutional investors on equity capital markets transactions
- Draft and negotiate prospectuses, offer documents, underwriting agreements, and ancillary transaction documentation
- Manage IPOs, secondary offerings, rights issues, and placement transactions from inception to completion
- Provide regulatory advice on ASX Listing Rules, Corporations Act, and ASIC requirements
- Conduct due diligence on equity offerings and coordinate with corporate finance teams
- Advise on takeovers, schemes of arrangement, and other M&A transactions with equity components
- Handle continuous disclosure obligations and corporate governance matters for listed clients
- Support business development initiatives and maintain client relationships
- Mentor junior lawyers and contribute to team knowledge sharing
- Stay current with capital markets developments and regulatory changes
- 4-7 years' post-qualification experience in equity capital markets, corporate finance, or M&A
- Strong experience with ASX-listed transactions, IPOs, or secondary equity offerings
- Excellent knowledge of Corporations Act, ASX Listing Rules, and capital markets regulation
- Outstanding drafting and negotiation skills with attention to detail
- Commercial acumen and ability to provide practical solutions under pressure
- Strong analytical and project management capabilities
- Team-oriented approach with excellent communication skills
- Experience at a top-tier law firm or leading investment bank
- Cross-border transaction experience, particularly Asia Pacific
- Understanding of ESG considerations in capital markets
- Technology sector transaction experience
- Professional qualifications in multiple jurisdictions
