ANNOUNCEMENT REGARDING THE SELECTION OF A MEMBER OF THE BOARD OF DIRECTORS

COMPLEXUL ENERGETIC OLTENIA S.A.Complexul Energetic Oltenia S.A. announces the procedure for selecting a vacant position of member of the Board of Directors, in accordance with the provisions of O.U.G. no. 109/2011 on the corporate governance of public enterprises, as amended and supplemented. The selected person will take over the vacant mandate, for the remaining period of the current Board of Directors' mandate, namely until 12.04.2028.

CONDITIONS TO BE MET BY CANDIDATES

Candidates for the position of member of the Board of Directors must obligatorily meet, cumulatively, the following conditions:

a) have completed university studies (minimum ISCED 6 equivalent – bachelor's degree) in the field of engineering, economics, social sciences, law, or equivalent;

b) have a professional experience of at least 10 years;

c) have at least 5 years of relevant experience in management consulting or in leadership positions held at public authorities or in administrator or director positions, as well as any other leadership positions within public enterprises or private sector companies;

d) are not in a conflict of interest that would make them incompatible with the exercise of the position of member of the Company's Board of Directors;

e) have not been dismissed or revoked for failure to fulfill contractual obligations in a position within public institutions or state-majority capital enterprises in the last 5 years;

f) meet the conditions stipulated by Law no. 31/1990 and O.U.G. no. 109/2011 regarding the status of a member of the board of directors;

g) have no entries in their fiscal record;

h) have no entries in their criminal record;

i) have a health status corresponding to the position for which they are applying, attested by a medical certificate;

j) meet all the criteria required by O.U.G. no. 109/2011 on the corporate governance of public enterprises, as amended and supplemented.

OPTIONAL CONDITIONS

• previous experience in the energy sector.

SELECTION CRITERIA

The selection criteria are the competencies, traits, and experience elements necessary for the candidate to successfully fulfill the role of member of the Board of Directors and are evaluated by reference to the Candidate Profile approved for this procedure. These include competencies specific to the Company's field of activity, competencies of strategic/technical importance, corporate governance competencies, social and personal competencies, experience, traits specific to the position, alignment with the Letter of Expectations, and other criteria provided in the Profile.

EVALUATION METHOD

The comparative analysis of candidates is carried out by reference to the Candidate Profile and the indicators related to the selection criteria, using, as appropriate: analysis of the documents in the application file, additional information requested from candidates, verification of references and previous professional activity, analysis of the letter of intent, behavioral observation during the interview, and other evaluation tools provided for in the procedure documents.
