Legal Counsel - Real Estate

Nexta Capital Partners is an industrial investor and operator in the energy and infrastructure sector, active as an Independent Power Producer (IPP) in the development, acquisition, and long-term management of assets.

The Group operates with a vertically integrated IPP model, combining project development, investment, construction, and asset management expertise, creating value throughout the entire lifecycle of energy projects.

Nexta Capital Partners currently manages a diversified portfolio of projects in Italy in the photovoltaic, wind, battery storage, and biomethane sectors, with a total capacity exceeding 3.5 GW, and is actively engaged in expanding its pipeline through organic development and strategic acquisitions.

With operational headquarters in Milan at Via Tortona 33, Nexta Capital Partners adopts a long-term vision focused on the energy transition, the creation of sustainable infrastructure, and the long-term valorization of assets.

To strengthen the Legal team, we are looking for a Legal Counsel – Real Estate who will report directly to the Group General Counsel.


Main Responsibilities


  • Draft, review, and negotiate a wide range of real estate contracts, including purchase agreements, surface rights agreements, lease agreements, and easements;
  • Conduct comprehensive real estate due diligence, by consulting relevant land registries, for potential real estate acquisitions (or other transactions) to identify any legal risks and ensure compliance with local, state, and federal regulations;
  • Advise on potential legal risks and propose mitigation strategies related to land acquisition and project development;
  • Ensure compliance with all relevant laws and regulations, including zoning, environmental, and land use regulations;
  • Collaborate with internal stakeholders, including project developers, engineers, and finance teams, to align legal strategies with business objectives;
  • Work with external counsel, government agencies, and other third parties to facilitate smooth transactions and resolve legal issues;
  • Maintain organized records of all legal documents and correspondence related to real estate transactions;


Requirements:

  • Degree in Law;
  • Solid experience in legal-real estate of at least 4/5 years;
  • Excellent ability to consult the Land Registry and the Companies Register;
  • Excellent ability to collaborate with and verify the work carried out by legal experts in the real estate sector and notaries;
  • Solid experience in pre-litigation/civil litigation of at least equal duration;
  • Ability to draft formal notices to comply, cease and desist letters, and letters of dispute;
  • Solid expertise in the out-of-court management of debt recovery procedures;
  • Ability to draft private settlement agreements;
