Michael Page - Management of corporate governance and secretarial activities, including preparation of minutes, summonses, and documentation for the Board of Directors, Assemblies, and Committees. - Monitoring and implementation of applicable regulations for quoted companies (TUF, Consob Regulations, Corporate Governance Code). - Support in drafting and reviewing company and regulatory documentation, including financial statements, financial reports, and price-sensitive communications. - Coordination with external consultants and supervisory authorities for regulatory compliance. - Legal advice on extraordinary operations (mergers, acquisitions, capital increases) and corporate law issues. - Collaboration with internal functions (Compliance, Investor Relations, Finance) to ensure regulatory compliance. - Continuous updating on legislative and regulatory developments in the financial markets. - Law degree and admission to the bar. - 6-7 years of experience in the legal field, preferably gained in quoted companies or specialized law firms in corporate law and financial markets. - In-depth knowledge of Italian regulations for quoted companies, TUF, Consob Regulations, and Corporate Governance Code. - Excellent writing and reviewing skills for legal and company documents. - Fluent English (spoken and written). - Strong problem-solving skills, precision, and ability to work as part of a team.
