Bursarial Lawyer / Corporate Law (F/H/NB)

We are looking for a senior lawyer in bursarial law/corporate law to join our Corporate/Juridical Department/Governance at Ubisoft Group.

You will have main missions to contribute to legal missions related to the listed company.
In the context of this position, your main missions will be as follows :

• Participate in preparing and organizing documents related to the general meeting of the listed company (calendar, resolutions, invitation brochures, reports, arguments, publications, management of shareholder list) as well as implementing resolutions (employee shareholding, capital operations, etc.)
• Coordinate internal and external contributors' work during the drafting of the universal registration document (DEU)
• Ensure compliance with declarative obligations and publication of regulated information in the context of monitoring the listed company's shareholder structure
• Participate in preparing meetings of the board of directors and its committees (particularly, Nomination, Remuneration, and Governance Committee) as well as preparing governance roadshows
• Implement the Group's governance policy: Ensure proper application of internal procedures rules, by drafting and tracking delegations of powers and/or signatures
• Design the realization of benchmarks, analyses, and writing notes on bursarial law and governance matters / Monitor trends in governance / Study and analyze new legislative or regulatory texts
• Support the Department in international restructuring operations / Support projects transforming the group internationally
• Contribute to improving and researching efficiency of processes and reporting tools for the Department, allowing operational and functional directions to have real-time relevant information during their respective activities
