Job description
MAIRE S.p.A. is a leading engineering group that provides technological solutions and project execution in the downstream segment of energy services, as well as in the chemical and fertilizer sectors. MAIRE S.p.A. is looking for a Group Corporate Affairs & Governance Specialist to join the Group Corporate Affairs and Governance Function.
Main Responsibilities
- Organization and management of corporate bodies' meetings (Shareholders' Meetings, Board of Directors, Internal Committees, and Statutory Auditors), handling the minutes of these meetings and managing the preliminary and subsequent fulfillments;
- Management of obligations related to stock exchange listing towards Consob, Borsa Italiana S.p.A., and other competent Authorities, providing technical support on regulatory and/or compliance matters within its scope to other Functions, where necessary;
- Management of issues related to corporate law and governance, including within the scope of operations aimed at the acquisition and/or establishment of new companies, in Italy and abroad, and financial operations;
- Management – in line with Group standards and in close coordination with the Head of the Function – of the delegation and power of attorney system for the Group's companies.
Required Skills and Competencies
- Master's Degree in Law;
- Previous experience of at least 8 years in Legal Departments or Corporate Affairs Departments of listed or large, international companies, dealing with corporate matters, management of Italian and foreign shareholdings, and governance;
- Significant experience in leading law and/or notary firms, dealing with the aforementioned issues, and/or having completed post-graduate specialization in the corporate field;
- Strong analytical and problem-solving skills;
- Proactivity and teamwork predisposition;
- Fluent English (written and spoken);
- Excellent command of the Office suite.
Contractual Framework
- Contract Type: Permanent Employment;
- Applicable National Collective Bargaining Agreement (CCNL): Chemical and Chemical-Pharmaceutical (identification code B011);
- Position Level: Quadro (Managerial), in accordance with the applicable Collective Bargaining Agreement.
Remuneration
For the position in question, the initial gross annual salary, paid over 14 months, will be € 55,000.
The economic treatment will consist of the applicable elements of the Collective Bargaining Agreement and what is provided by company agreements regarding flexible benefits and profit-sharing bonuses.
Any further variable components and/or benefits, regulated by Company Standards, Policies, and/or agreements, will be explained during the selection process.
