Job description
We are currently looking for a Corporate Secretary to join our fast growing team. The Corporate Secretary plays a critical role in ensuring robust corporate governance, compliance, and Board support in line with both statutory requirements and industry-specific standards. Primary focus on overseeing and managing a strong corporate governance framework (including appropriate authority delegation) and supporting on governance-related matters and requisite statutory and regulatory filings.
Requirements- Strong understanding and hands-on experience with corporate governance and regulations.
- Familiar with Singapore best practices for financial institutions
- Prior in-house experience at a major financial institution or insurance company in Singapore is an added advantage.
- Familiar with the relevant corporate governance standards, regulations, notices and guidance applicable to a Tier 1 Singapore-licensed financial institution.
- Experience in coordinating and ensuring all statutory and regulatory filings and reporting (including regular financial reporting and requirements under the Companies Act, MAS Notice 106, MAS Notice 124, MAS Notice 125, etc.) are done accurately
- Experience in advising business units on governance-related issues, internal approval processes/requirements, statutory and regulatory requirements on approvals required for business transactions and contracts, preparing necessary resolutions and/or approval memos and keeping complete and accurate records of the same.
