Corporate and Commercial Lawyer

We are seeking a corporate and commercial lawyer to join our team. As a corporate and commercial lawyer, you will be responsible for developing the division of corporate and commercial law at our firm. This role requires a good understanding of Canadian laws on companies and the ability to manage complex transactions and compliance issues. • Represent and counsel clients composed of SMEs;
• Meet with clients and analyze their needs;
• Conduct legal, judicial, and doctrinal analyses;
• Write legal opinions/advices;
• Pilot case files at the firm in corporate law, including:

• Society constitution and organization;
• Aquisition of companies through assets or shares;
• Mergers and acquisitions;
• Dissolution and liquidation of companies;
• Company reorganization;
• Restructuring of companies;
• Fiduciary duties;
• Franchising;
• Negotiation and drafting of agreements between shareholders;
• Setting up financing;
• Setting up real estate securities;
• Diligent verification;

Rewrite corporate and contractual documents, including:

• Resolutions;
• Commercial leases;
• Confidentiality agreements (NDAs);

Delegate tasks to paralegals and junior lawyers and review their work; Act as a mentor to junior lawyers; Develop and execute a global strategy for the development of the corporate and commercial law division at the firm.
